(1) The Reporting Person may be deemed to be the beneficial owner of 1,541 shares of Common Stock that are held by the Donna B. Lanktree Family Trust, the trustee of which is Donna B. Lanktree, the spouse of the Reporting Person.
(2) Represents grants of restricted stock units (RSUs) under the 2017 Incentive Compensation Plan. Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs vest subject to the Reporting Person's continued service as a director of the Issuer through such date.
