(1) | The securities reported are restricted stock units ("RSU"), which represent the contingent right to receive one share of the Issuer's common stock, par value $0.0001 per share (the "common stock"). The RSU award will vest as follows: for the three quarters subsequent to March 25, 2024, twenty-five percent (25%) of the total number of shares of common stock underlying the RSUs shall vest on December 25, 2024; the remaining seventy-five percent (75%) of the total number of shares of common stock underlying the RSUs shall vest in nine (9) substantially equal quarterly installments thereafter. Subject to the terms and conditions of the RSU award and the Issuer's 2024 Equity Incentive Plan, such award will be fully vested as of March 25, 2027. |
