3.02 Unregistered Sales of Equity Securities

On September 12, 2024, Trustfeed Corp. (the "Company"), issued 10,000,000 shares of the common stock of the Company to CRW 1, LLC, the holder of 500,000 shares of the Series A Convertible Preferred Stock of the Company (the "Preferred Stock"), upon the conversion in full of the Preferred Stock in accordance with its terms. Such shares were issued pursuant to an exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933, as amended (the "Securities Act") as a transaction by an issuer not involving any public offering.
